Online entertainment company Rovi plans to purchase digital video recording firm TiVo for $1.1 billion in a stock and cash deal, the companies announced on Friday.

TiVo has cloud-based technology for integrating live, recorded, on-demand and Internet television into one user interface, with search, discovery, viewing and recording options from a variety of devices. Its technology has been deployed by operators including Virgin Media and Vodafone Spain.

Rovi announced in March that Sharp’s new Aquos TVs would include its G-Guide electronic programming guide.

The combined company is forecast to have more than $800 million in revenue in the current year. More than 10 million TiVo-served households are expected to be added to the current base of about 18 million homes that use Rovi guides. The new entity will serve nearly 500 service providers worldwide, the companies said.

The deal between Rovi and TiVo, besides creating a large media and entertainment technology company with complementary products and services, will also lead to the setting up of a company with a worldwide portfolio of more than 6,000 issued patents and pending applications worldwide.

The two companies have a strong licensing business and have also sued key players like  Comcast for patent infringement in the past. The companies said they have more than $3 billion in combined IP licensing revenue and past damage awards.

The transaction is expected to close in the third quarter and the combined company will use the TiVo name. Tom Carson, CEO of Rovi will be the chief executive of the new company.

Struggling display manufacturer Sharp, reeling from cutthroat competition in mobile phones, will push car makers to incorporate vehicle dashboards that have gestural commands, thin bezels and other next-generation features.

It’s hoping cars will be controlled, in part, through high-resolution displays that can fit any two-dimensional surface area, such as dashboard panels with rounded contours.

The company has shown off the wavy screens for cars and consoles in recent months, and has tried to woo automakers to use them. Under the firm’s new medium-term strategy, the push has taken on greater urgency.

Thin-bezel dashboard LCDs, as well as screens that can provide multiple views to different passengers in a car depending on their perspective, could prove to be a lifeline for Sharp, which hasn’t been able to command a dominant market position despite cutting-edge technology.

Sharp is an Apple supplier and is said to be a maker of iPhone 6 screens, along with Japan Display, and LG Display of South Korea.

Apple sources some of its screens from Sharp’s Kameyama plants in central Japan, which produce the maker’s flagship IGZO (indium gallium zinc oxide) transparent crystalline semiconductor displays. IGZO displays, which Sharp began producing for smartphones in 2013, have smaller pixels than conventional LCD screens and feature low power consumption.

Last month, Sharp showed off a 5.5-inch display with 3860 x 2160 or 4K pixel resolution, which was part of a 12.5-inch IGZO panel. But there were no immediate plans for mass production.

Sharp’s ability to generate dazzling phone graphics hasn’t saved its bottom line. The firm announced a US$1.7 billion bailout from banks this week, its second lifeline in three years, and posted a dismal earnings performance for the year to March 31 with a net loss of ¥222.3 billion ($1.8 billion). It blamed declining prices in small and medium-sized LCDs.

In contrast, Sharp sees prices for automotive and industrial automation displays as more stable because the barriers to market entry are higher due to the technological know-how that’s required. Now it needs to play for time.

Japanese electronics giant Panasonic Corp said it is gearing up to spend 1 trillion yen ($8.4 billion) on acquisitions over the next four years, bolstered by a stronger profit outlook for its automotive and housing technology businesses.

Chief Executive Kazuhiro Tsuga said at a briefing on Thursday that Panasonic doesn’t have specific acquisition targets in mind for now. But he said the firm will spend around 200 billion yen on M&A in the fiscal year that kicks off in April alone, and pledged to improve on Panasonic’s patchy track record on big deals.

“With strategic investments, if there’s an opportunity to accelerate growth, you need funds. That’s the idea behind the 1 trillion yen figure,” he said. Tsuga has spearheaded a radical restructuring at the Osaka-based company that has made it one of the strongest turnaround stories in Japan’s embattled technology sector.

Tsuga previously told Reuters that company was interested in M&A deals in the European white goods market, a sector where Panasonic has comparatively low brand recognition.

The firm said on Thursday it’s targeting operating profit of 430 billion yen in the next fiscal year, up nearly 25 percent from the 350 billion yen it expects for the year ending March 31.

Panasonic’s earnings have been bolstered by moving faster than peers like Sony Corp and Sharp Corp to overhaul business models squeezed by competition from cheaper Asian rivals and caught flat-footed in a smartphone race led by Apple Inc and Samsung Electronics. Out has gone reliance on mass consumer goods like TVs and smartphones, and in has come a focus on areas like automotive technology and energy-efficient home appliances.

Tsuga also sought to ease concerns that an expensive acquisition could set back its finances, which took years to recover from the deal agreed in 2008 to buy cross-town rival Sanyo for a sum equal to about $9 billion at the time.

Samsung and Intel announced on Tuesday that the open source Tizen operating system now has 36 partners, including eBay, Trend Micro and Panasonic.

The full list of new partners was announced at the Tizen Developer Summit, and includes a mix of firms from different sectors. Among the 36 backers are eBay, Nokia’s Here mapping service, Konami, McAfee, Panasonic, Sharp and The Weather Channel, giving us some insights as to what software applications are likely to appear on the Linux based operating system.

Trevor Cornwell, founder and CEO of Appbackr, one of Tizen’s newly added partners, said that his firm found the operating system appealing due to its open nature, perhaps hinting that it is more open than Google’s Android mobile operating system.

He said, “The Tizen OS promises to be the most open and comprehensive software platform available for those companies wishing to target the consumers of connected devices.

“The Association’s commitment to support HTML5 applications, combined with their vision that extends beyond the smartphone and tablet ecosystem to a wider array of other connected device segments, makes it attractive to all types of companies. We look forward to collaborating with the Tizen Association to ensure that all stakeholders can contribute to the development of a platform for this growing market opportunity.”

It’s still unclear when Samsung’s first Tizen powered smartphone will make it to market, but online speculation suggests we’ll be seeing the firm’s debut Android challenging smartphone at some point in 2014.

Further speculation suggests that Samsung’s first Tizen phone will be an updated version of the Galaxy S4, possibly to reduce its reliance on Android.

Sharp on Monday unveiled its latest prototypes of a new kind of display screen that it says brings several advantages over today’s liquid crystal display (LCD) screens.

The screens, called microelectromechanical systems (MEMS) displays for the tiny moving parts they contain, are being developed by the Japanese company in partnership with Qualcomm and were on show at the Ceatec electronics show just outside of Tokyo.

Behind each pixel in a MEMS display is a backlight that flashes red, green and blue in fast succession, and in front of it is a tiny shutter can be opened to let light through.

Synchronized to the backlight, the shutter can control the amount of each color of light allowed through. The eye perceives these flashes as the desired hue.

In contrast, today’s LCD screens create colored pixels using three filters. The filters swallow about two thirds of the brightness of the backlight before it leaves the display, said Akira Imai, deputy general manager of Sharp’s new business development center.

The MEMS display can allow all the light through, so the intensity of the backlight can be reduced using less power for the display, said Imai.

In a portable gadget, the screen often consumes more power than any other component, so reducing its demands can have a big impact on battery life.

The screens on show at Ceatec were 7-inch models with 800 pixel by 1,280 pixel resolution. The colors were bright and the screen image was sharp, although people viewing the screens did tend to see a brief flash of red, green and blue pixel each time they turned their eyes away from the display. That’s something Sharp is working on, said Imai.

Sharp also showed a version of the screen working in several low power modes.

The development work with Qualcomm began earlier this year when the U.S. company said it would invest $120 million into Sharp. The money, which was invested in two parts, was accompanied by Qualcomm’s MEMS expertise. Sharp has a long history in flat-panel display technology, especially LCD, and has recently been working on a new type of display called IGZO, on which the MEMS display is partly based.

Sharp is really regretting its dependence on Apple as its main customer.

While it made sense at the time to be extremely pleased when Apple sucked up most of its capacity with screens for its iPhone and iPad, now the tide has turned the outfit is reporting a bigger than forecast loss. Sharp is now suffering from low output at its factories and forced to write off excess capacity.

The company had a $5.1 billion net loss for the year which is much worse than it predicted. At the start of the year, Sharp was forced to curtail production of 9.7-inch screens for Apple’s iPad. That has stepped up the urgency for Sharp to find new customers and uses for its leading-technology displays and may make it harder for the company to convince investors and lenders it remains a viable company.

Sharp will officially announce its results for latest business year on May 14. To make matters worse the company is also taking a charge to put aside cash for possible fines from a display price-fixing investigation in Europe, the sources said. Sharp in October received a $4.4 billion bailout from banks including Mizuho Financial Group and Mitsubishi Financial Group in return for mortgaging nearly all its factories and offices in Japan and pledging to cut 10,000 jobs.

While Sharp is desperately looking for more cash, it appears that it will try busking outside CES with a dog on a string before it takes money from Intel.

A senior senior executive from the Japanese company told the Mercury News denied that the company was looking for money from Intel. Industry analysts had speculated that Intel and Sharp, which supplies screens to Apple (AAPL) for its latest iPhonem, were in investment discussions.

Sharp is fighting for survival after years of losses. In November, it said it may not be able to survive on its own after full-year net losses to doubled to $5.6 billion. Sharp Vice President Kozo Takahashi told reporters at a roundtable briefing on the sidelines of the Consumer Electronics Show in Las Vegas that the company’s finances have been weakened considerably and we are considering ways to deal with that.

Japanese troubled telly maker, Sharp, has warned that if it can’t do something radical soon, its business could go the way of the dodo and T-Rex.

Despite being a major supplier of LCD displays to Apple and other manufacturers, the company has admitted that it can’t survive in its current form. According to Computerworld the company said that there is “material doubt” about its ability to continue operating. The company thinks that it can cut costs and secure enough credit to survive and much of its plan for recovery is based on its IGZO technology for mobile displays.  This technology uses less battery power than existing screens.

Sharp is also carrying out a restructuring plan in which it has reduced headcount, slashed employee salaries and mortgaged its buildings and factories. The company is booking a net loss of $5.6 billion for the year mostly to cover its restructuring costs. Its stock has been downgraded to junk status by ratings agencies and apparently its executives have been seen around Apple and Intel HQ’s with their cloth caps in their hands looking for bail outs, or investments, depending on who you talk to.

Sharp President Takashi Okuda said the company is continuing its  negotiations with Hon Hai, even though so far these have not been going that well. Sharp made a mistake in that it thought that the world wanted LCD panels for large-screen TVs. It is now trying to switch over to the booming market for tablets and smartphones.

Sharp has had its credit rating cut to junk status by the Standard and Poor’s rating agency.

Sharp, which invested heavily during the LCD television boom in the mid 2000s, is now paying the price as demand for televisions slumps across the board. Now Standard and Poor’s has bestowed the ignominy of lowering Sharp’s credit rating to BB+, putting it into what’s called junk status.

Standard and Poor’s also warned that Sharp has weak cash flow and is facing worsening market conditions, two things that will not endear it to investors. It said, “Sharp’s liquidity position has weakened, and the company is highly dependent on short-term borrowings in light of weak internal cash flow and a less favourable funding environment.”

Sharp has had a troubled year and earlier this week announced that it will lay off 2,000 employees in Japan, as its LCD business simply cannot support itself. Standard and Poor’s said that unless Sharp’s fortunes improve, the firm could be hit with another credit rating downgrade.

Standard and Poor’s said, “We may consider lowering the ratings if Sharp’s earnings in (the year to March 2013) and prospects for its recovery deteriorate even further or the company’s financing environment and relationships with credit banks and strategic partners worsen.”

Sharp said on Monday it has agreed to pay Dell and two other firms $198.5 million to settle a lawsuit for fixing LCD panel prices in Europe and North America.

The company agreed to settle the civil lawsuit, which was first filed in November of 2009 against a group of companies including Sharp, Epson, Hitachi and Toshiba for collusion on prices of LCD panels sold to Dell. A Sharp spokeswoman said the company made the decision independent of the other firms involved in the lawsuit, and the payment would settle the suit with Dell. Sharp did not name the two other companies besides Dell.

“After broadly considering factors such as the U.S. civil lawsuit system and the facts of this case, Sharp has determined that agreeing to a settlement is the best policy,” the company said in a statement.

Dell sought damages to recover funds it paid for LCD panels purchased at inflated prices. The lawsuit involved TFT (thin film transistor) panels, widely used in TVs, laptops and handheld gadgets.
